Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you and Betaling Africa governing your access to and use of the Betaling Africa websites, mobile applications, application programming interfaces (APIs), digital platforms, payment infrastructure, foreign exchange solutions, wallets, Treasury Network, Over-the-Counter ("OTC") Desk, and any other products or services made available by Betaling from time to time (collectively, the "Services").

By creating an Account, registering for, accessing, or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any policies, schedules, guidelines, or supplemental terms incorporated by reference, including our Privacy Policy, Cookie Policy, AML/CTF Policy, and any product-specific terms applicable to particular Services. If you do not agree to these Terms, you must not access or use the Services.

Where you use the Services on behalf of a company, partnership, financial institution, government agency, non-profit organisation, or any other legal entity, you represent and warrant that:

  • you have full legal authority to bind that organisation to these Terms;
  • the organisation accepts responsibility for all activities conducted through its Account; and
  • all references to "you" and "your" include both you personally (where applicable) and the organisation you represent.

You agree that your use of the Services may be subject to applicable laws, regulations, payment scheme rules, sanctions laws, anti-money laundering and counter-terrorist financing requirements, foreign exchange regulations, consumer protection laws, and any directives issued by competent regulatory authorities in the jurisdictions where the Services are offered.

Certain Services — including the Treasury Network, OTC Desk, foreign exchange transactions, cross-border payments, and digital wallet services — involve financial, operational, settlement, liquidity, foreign exchange, counterparty, and market risks. You acknowledge these risks and agree to review the applicable disclosures contained in Section 17 (Risk Disclosures) before using such Services.

1. About Betaling and these Terms

The Services are provided by Betaling Africa, operating through:

  • Betaling Africa Tech Limited, a company duly incorporated under the laws of the Federal Republic of Nigeria (RC 1885537); and
  • Betaling Africa Inc, a company incorporated under the laws of Delaware, United States.

Depending on your country of residence, the Services requested, applicable regulatory requirements, or operational arrangements, your contractual relationship may be with one or more Betaling entities. Accordingly, references to "Betaling", "we", "our", or "us" in these Terms refer to the relevant Betaling entity providing the applicable Service.

Betaling provides technology-enabled payment, wallet, treasury, and foreign exchange solutions under the licences, registrations, approvals, exemptions, or authorisations required in the jurisdictions where it operates. Details of our regulatory authorisations are available upon request or on our website where applicable.

Unless expressly stated otherwise:

  • Betaling is not a bank, deposit-taking institution, or insured financial institution.
  • Funds held in a Betaling Wallet are not bank deposits, do not earn interest unless expressly agreed, and are not protected by any deposit insurance scheme unless required by applicable law.
  • Betaling may utilise licensed banking partners, payment service providers, settlement institutions, liquidity providers, custodians, and regulated financial institutions in providing the Services.

We may amend these Terms from time to time to reflect changes in applicable laws, regulatory requirements, industry standards, security requirements, technology, or our Services. Where required by law, we will provide reasonable notice before material changes become effective. Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of those changes.

2. Definitions

Unless the context otherwise requires, the following terms shall have the meanings assigned below:

  • Account means an Individual, Business, Institutional, Merchant, or Treasury Network account opened and maintained with Betaling.
  • Applicable Law means all applicable laws, regulations, directives, regulatory guidance, court orders, payment scheme rules, sanctions, and governmental requirements applicable to the Services.
  • Business Day means any day other than a Saturday, Sunday, or public holiday in the jurisdiction relevant to the applicable Service.
  • Beneficiary means the individual or legal entity designated to receive funds through the Services.
  • Customer means any individual or entity that registers for or uses the Services.
  • Exchange Rate means the rate at which one currency is exchanged for another as quoted, agreed, or executed through the Services.
  • Instruction means any payment instruction, transfer request, foreign exchange order, settlement instruction, or other communication submitted by you through the Services.
  • KYC ("Know Your Customer") means the customer identification and verification procedures required under applicable law.
  • KYB ("Know Your Business") means the business verification and due diligence procedures required for corporate or institutional customers.
  • Merchant means any business or organisation using the Services to receive, process, or facilitate payments.
  • OTC Desk means Betaling's over-the-counter foreign exchange service for eligible customers.
  • Sanctions means any economic, financial, or trade sanctions laws or restrictive measures administered or enforced by any competent governmental or regulatory authority.
  • Services means all products, platforms, software, APIs, payment solutions, wallets, foreign exchange services, Treasury Network services, OTC Desk services, and related offerings provided by Betaling.
  • Treasury Network means Betaling's invitation-only institutional foreign exchange and liquidity platform for qualified corporate and institutional customers.
  • Wallet means a stored-value or stored-balance facility maintained by Betaling that enables eligible users to hold, receive, send, convert, or use supported currencies in accordance with these Terms and applicable law.

3. Eligibility

3.1 To access or use the Services, you must:

  • be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is higher;
  • have the legal capacity and authority to enter into binding contracts;
  • provide complete, accurate, and up-to-date information during registration and throughout your use of the Services;
  • comply with all applicable laws, regulations, sanctions, and regulatory requirements relevant to your use of the Services; and
  • successfully complete any identity, business, compliance, or risk assessments required by Betaling.

3.2 Where you register on behalf of a business, financial institution, government agency, partnership, trust, charity, or other legal entity, you represent and warrant that:

  • the entity is duly incorporated, validly existing, and in good standing under the laws of its jurisdiction;
  • you have full authority to bind the entity to these Terms; and
  • all authorised users of the Account shall comply with these Terms.

3.3 Betaling may refuse, suspend, restrict, or terminate any application or Account where permitted by applicable law, including where:

  • we cannot satisfactorily verify your identity or business;
  • we reasonably suspect fraud, financial crime, or other unlawful activity;
  • you fail to provide requested information or documentation;
  • we are required to do so by law, regulation, court order, or a competent regulatory authority; or
  • your continued use of the Services presents unacceptable legal, regulatory, financial, reputational, operational, or security risks.

Approval of an Account is at Betaling's sole discretion, subject to applicable law.

4. Our Services

4.1 Subject to your eligibility, verification status, jurisdiction, and compliance with these Terms, Betaling may provide one or more of the following Services:

(a) Payment Services

  • Domestic and international money transfers;
  • Cross-border business payments;
  • Supplier and vendor payments;
  • Salary and payroll disbursements;
  • Tuition and education fee payments;
  • Merchant collections;
  • Multi-currency wallets; and
  • Local and international settlement services.

(b) Foreign Exchange Services

  • Spot foreign exchange transactions;
  • Currency conversion;
  • Institutional foreign exchange solutions;
  • Liquidity management; and
  • Treasury support.

(c) Treasury Network

Betaling's invitation-only institutional marketplace enables eligible participants to match, negotiate, execute, and settle foreign exchange obligations directly with approved counterparties.

(d) OTC Desk

Foreign exchange execution and settlement services for approved corporate, institutional, and high-volume clients.

(e) Additional Services

Betaling may introduce additional products and services from time to time, including APIs, payment integrations, virtual accounts, card services, escrow solutions, collections, digital wallets, or other financial technology solutions.

4.2 Availability of Services may depend on your country of residence or incorporation, your verification status, applicable laws, supported currencies, banking infrastructure, liquidity, technical availability, and internal risk assessments.

4.3 Betaling may modify, suspend, discontinue, or enhance any Service, currency, payment corridor, feature, or functionality where reasonably necessary for operational, commercial, legal, security, or regulatory reasons.

5. Account registration and verification

5.1 To open an Account, you must provide accurate, current, complete, and truthful information together with any supporting documentation reasonably requested by Betaling.

5.2 Depending on your Account type, we may request:

  • government-issued identification;
  • proof of address;
  • biometric verification;
  • tax identification numbers;
  • company incorporation documents;
  • constitutional documents;
  • details of directors, shareholders, authorised signatories, and Ultimate Beneficial Owners (UBOs);
  • licences or regulatory approvals;
  • source of funds and source of wealth information; and
  • any additional information required for regulatory compliance.

5.3 Betaling may carry out:

  • Know Your Customer (KYC) and Know Your Business (KYB) checks;
  • Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) checks;
  • sanctions screening;
  • Politically Exposed Person (PEP) screening;
  • adverse media screening;
  • fraud detection;
  • ongoing monitoring; and
  • enhanced due diligence where required.

5.4 Business and institutional Accounts are subject to manual compliance review and approval. Submission of an application does not guarantee activation.

5.5 You must promptly notify Betaling of any changes to your legal name, address, directors, beneficial ownership, contact information, business activities, licensing status, or any other material information previously provided.

5.6 Betaling may request updated information at any time. Failure to provide requested information within a reasonable period may result in suspension, restriction, or closure of your Account.

6. Your responsibilities and Account security

You are responsible for maintaining the security and confidentiality of your Account. You agree to:

  • keep your username, password, PINs, authentication devices, API credentials, tokens, and security codes confidential;
  • implement appropriate internal controls where multiple authorised users access your Account;
  • ensure that all payment instructions submitted through your Account are accurate, complete, and properly authorised;
  • verify beneficiary details before confirming any transaction;
  • maintain adequate cybersecurity measures to protect your devices and systems;
  • immediately notify Betaling if you suspect unauthorised access, compromise, fraud, or security incidents;
  • cooperate with any fraud investigation or compliance review;
  • ensure sufficient funds are available before initiating transactions requiring prefunding or settlement; and
  • comply with all applicable laws and regulatory requirements.

You remain responsible for all activities carried out through your Account until Betaling receives and has had a reasonable opportunity to act upon notice of any unauthorised access or security breach.

7. Acceptable use and prohibited activities

You agree to use the Services only for lawful purposes. Without limitation, you must not use the Services to:

  • engage in fraud, money laundering, terrorist financing, bribery, corruption, tax evasion, or any other financial crime;
  • violate any sanctions, export controls, or trade restrictions;
  • process payments relating to illegal goods or services;
  • submit false, misleading, inaccurate, forged, or fraudulent information or documentation;
  • operate on behalf of undisclosed third parties without our prior approval;
  • circumvent transaction limits, compliance controls, or security measures;
  • exploit vulnerabilities in our systems;
  • introduce malware, ransomware, spyware, viruses, or other harmful software;
  • reverse engineer, copy, or interfere with the Services;
  • infringe intellectual property rights; or
  • engage in any activity that could expose Betaling or its partners to legal, regulatory, reputational, or financial risk.

Betaling reserves the right to suspend, reject, reverse (where legally and operationally possible), investigate, or report any transaction suspected of violating this Section.

8. Transaction limits

8.1 Transaction limits may apply based on verification level, account type, regulatory requirements, jurisdiction, transaction history, risk profile, expected transaction volume, and liquidity considerations.

8.2 Betaling may establish minimum and maximum transaction amounts; daily, weekly, monthly, or annual limits; and currency-specific limits.

8.3 Betaling may modify applicable limits at any time for operational, legal, commercial, security, or regulatory reasons. Transactions exceeding applicable limits may be delayed, rejected, partially processed, or require additional verification.

9. Exchange rates, fees, and rate locks

9.1 Before you confirm a foreign exchange or payment transaction, Betaling will, where applicable, display the exchange rate, applicable fees and charges, taxes (where applicable), the total amount payable, the expected amount receivable by the beneficiary, and an estimated processing or delivery time.

9.2 Exchange rates are indicative until accepted by you and may fluctuate in response to market conditions.

9.3 Where Betaling provides a rate lock, the quoted exchange rate shall remain valid only for the period displayed on the platform. If the rate lock expires before confirmation, you must accept any refreshed quotation before the transaction can proceed.

9.4 Betaling may automatically refresh exchange rates where movements fall within a predefined tolerance threshold disclosed through the Services.

9.5 Fees, commissions, spreads, taxes, correspondent bank charges, intermediary bank fees, and third-party charges may apply depending on the transaction type, payment method, currency, destination, or applicable law.

9.6 Unless otherwise expressly agreed, all fees paid are non-refundable once the relevant Service has been performed or the transaction has been executed.

9.7 Betaling reserves the right to amend its pricing, fees, exchange rate methodology, or applicable spreads upon reasonable prior notice where required by law or where such changes are necessary due to market conditions, regulatory changes, operational costs, or changes in third-party provider charges.

10. Payments, settlement, and processing

10.1 Payment instructions

By initiating a transaction through the Services, you authorise Betaling to process your payment instructions using the funding method selected by you, including, where available: bank transfer, virtual account, debit or credit card, mobile money, Wallet balance, or any other payment method supported by Betaling from time to time. You are responsible for ensuring that all payment instructions, beneficiary details, transaction amounts, currencies, and other information submitted through the Services are complete and accurate.

10.2 Processing and settlement

Transaction processing and settlement times vary depending on the payment method used, the destination country, the receiving financial institution, correspondent banks, payment scheme rules, foreign exchange settlement requirements, compliance reviews, and operational or technical factors beyond Betaling's reasonable control. Any estimated processing or delivery time displayed through the Services is an estimate only and does not constitute a guarantee.

10.3 Third-party providers

Certain Services rely on third-party financial institutions, payment processors, correspondent banks, card networks, liquidity providers, clearing systems, settlement institutions, and technology providers. Betaling shall not be liable for delays, failures, or interruptions caused solely by such third parties, provided Betaling has exercised reasonable care in selecting and managing such providers.

10.4 Payment scenarios

Unless otherwise agreed:

  • Bank transfer not received — where payment is not received within the applicable payment window, the transaction may automatically expire or be cancelled without processing, and no transaction fee shall be charged.
  • Partial payments — where only part of the required amount is received, Betaling may place the transaction on hold, notify you of the outstanding balance, await full payment within the applicable timeframe, or cancel the transaction where payment is not completed.
  • Overpayments — amounts received in excess of the required payment may be credited to your Wallet, remain as an unapplied balance pending your instructions, or be refunded, subject to applicable fees and compliance requirements.
  • Card declines — if a card payment is declined, cancelled, reversed, or fails authorisation, the transaction shall not proceed until successful payment is received.

10.5 Irrevocability

Once a payment instruction has been accepted for execution or a transfer has been completed and delivered to the beneficiary, the transaction is generally irrevocable and cannot be cancelled or reversed except where required by applicable law, where the recipient agrees, where the transaction resulted from Betaling's proven error, or where reversal is operationally possible.

10.6 Failed transactions

Where a transaction fails before completion for reasons not attributable to you, Betaling shall use commercially reasonable efforts to refund or credit the relevant funds within a reasonable period, subject to applicable law and any deductions imposed by third-party providers.

11. Wallets

11.1 Wallet Services. Eligible customers may maintain one or more Wallets in supported currencies for the purpose of receiving, holding, converting, and making payments through the Services.

11.2 Nature of Wallet balances. Wallet balances:

  • are maintained solely to facilitate the Services;
  • are not bank deposits;
  • do not constitute savings or investment products;
  • are not insured by any deposit protection scheme unless required by applicable law; and
  • shall not accrue interest unless expressly agreed in writing.

11.3 Funding and use. Wallets may be funded through supported payment methods and may be used only for lawful transactions permitted under these Terms.

11.4 Suspension. Betaling may suspend, freeze, restrict, or place temporary holds on Wallets where reasonably necessary to comply with applicable law, investigate suspected fraud, prevent financial crime, comply with court orders or regulatory directions, protect the security of the Services, or manage operational risk. Where legally permitted, Betaling shall notify you of such action.

12. Treasury Network

12.1 Membership

The Treasury Network is an invitation-only institutional marketplace designed for eligible financial institutions, licensed foreign exchange dealers, corporates, and other approved institutional participants. Membership is subject to application, institutional verification, compliance approval, ongoing due diligence, and acceptance by Betaling.

12.2 Trading

By participating in the Treasury Network, you acknowledge that:

  • all orders are subject to market availability;
  • Betaling does not guarantee that any order will be matched;
  • matching occurs using applicable pricing and time-priority methodologies;
  • counterparty identities remain confidential until a trade has been successfully matched and settlement requirements satisfied; and
  • executed transactions become binding upon confirmation.

12.3 Settlement

Unless otherwise agreed:

  • matched counterparties must satisfy applicable funding requirements;
  • settlement occurs on a payment-versus-payment (PvP) basis where available; and
  • where settlement cannot be completed due to a default or failure by either participant, Betaling may unwind, cancel, suspend, or reallocate the transaction in accordance with its operating procedures.

12.4 Platform role

Betaling provides only the technology platform, matching engine, and settlement infrastructure. Betaling does not act as principal to trades unless expressly agreed, guarantee market liquidity, provide investment, tax, or legal advice, or guarantee the profitability of any transaction. Participants remain solely responsible for their trading decisions and regulatory compliance.

13. OTC Desk

The OTC Desk provides foreign exchange execution services to eligible institutional and corporate customers. All quotations are indicative until accepted by Betaling, may expire after a specified validity period, remain subject to market movements, are subject to available liquidity, and may be withdrawn before acceptance.

Betaling may decline to execute any transaction where:

  • settlement funds are unavailable;
  • compliance approval has not been obtained;
  • applicable limits have been exceeded;
  • regulatory requirements prohibit execution; or
  • operational constraints prevent settlement.

Additional OTC trading terms may apply.

14. Compliance, holds, and blocked transactions

Betaling is required to monitor Accounts and transactions for compliance with applicable laws and regulatory obligations. Accordingly, Betaling may request additional documentation, conduct enhanced due diligence, delay processing, reject transactions, freeze funds, suspend Services, restrict Accounts, reverse transactions where legally permitted, or terminate customer relationships.

These actions may be taken where reasonably necessary to:

  • comply with legal or regulatory obligations;
  • respond to law enforcement requests;
  • prevent fraud or investigate suspicious activity;
  • comply with sanctions;
  • protect customers; or
  • manage operational or security risks.

Where disclosure is prohibited by law, Betaling may be unable to explain the reasons for any such action. Betaling shall not be liable for losses arising solely from actions taken in good faith to comply with applicable law or lawful regulatory requirements.

15. Intellectual property

All rights, title, and interest in and to the Services, including all software, source code, object code, algorithms, interfaces, databases, APIs, trademarks, logos, trade names, copyrights, patents, trade secrets, documentation, content, designs, graphics, know-how, and other intellectual property rights remain vested in Betaling or its licensors. Nothing in these Terms transfers ownership of any intellectual property rights to you.

Subject to your compliance with these Terms, Betaling grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Services solely for their intended purpose.

Except to the extent expressly permitted by applicable law, you shall not copy, modify, distribute, reproduce, translate, adapt, reverse engineer, decompile, disassemble, create derivative works from, lease, sell, licence, or commercially exploit any part of the Services without Betaling's prior written consent.

You retain ownership of the information and content you upload to the Services. By submitting such content, you grant Betaling a non-exclusive, worldwide, royalty-free licence to use, process, store, reproduce, and transmit such content solely as necessary to provide, secure, improve, and comply with legal obligations relating to the Services.

16. Third-party services

16.1 Third-party providers. The Services may integrate with or rely upon third-party service providers, including banks, payment processors, card networks, correspondent banks, mobile money operators, identity verification providers, sanctions screening providers, cloud service providers, telecommunications providers, and other financial institutions. Your use of certain Services may therefore be subject to the separate terms, conditions, policies, and operating rules of those third parties.

16.2 No responsibility for independent third parties. Betaling does not own or control independent third-party providers and shall not be responsible for their acts, omissions, delays, system failures, insolvency, security incidents, or service interruptions where such matters are beyond Betaling's reasonable control. Where any issue arises involving a third-party provider, Betaling shall use commercially reasonable efforts to assist in investigating and resolving the matter.

16.3 Third-party charges. Third-party providers may impose additional fees, foreign exchange charges, intermediary bank charges, correspondent banking fees, taxes, or governmental levies over which Betaling has no control. Unless expressly stated otherwise, such charges shall be borne by you.

17. Risk disclosures

By using the Services, you acknowledge and accept the risks associated with electronic payments, foreign exchange, and digital financial services.

17.1 Foreign exchange risk. Foreign exchange rates fluctuate continuously. The exchange rate applicable to your transaction may differ from indicative market rates due to market volatility, liquidity, pricing methodology, execution timing, spreads, and third-party costs.

17.2 Treasury Network and OTC risks. Participation in the Treasury Network or OTC Desk involves, among other things, market risk, liquidity risk, counterparty risk, settlement risk, operational risk, technology risk, regulatory risk, and foreign exchange risk. Although Betaling implements settlement controls, escrow arrangements, and payment-versus-payment mechanisms where available, no system can eliminate all trading or settlement risk.

17.3 Technology risks. Electronic communications, internet services, telecommunications networks, cloud infrastructure, payment systems, and financial market infrastructure may experience interruptions, delays, cyberattacks, outages, or technical failures beyond Betaling's reasonable control.

17.4 Regulatory risk. Applicable laws, regulations, sanctions, licensing requirements, payment rules, tax laws, and governmental policies may change at any time and could affect the availability or operation of the Services.

17.5 No professional advice. Betaling does not provide investment, financial, accounting, tax, legal, or regulatory advice. You are solely responsible for evaluating the suitability of any transaction and obtaining independent professional advice where appropriate.

17.6 Irrevocable transactions. Completed transfers, foreign exchange transactions, and settlements are generally final and cannot be cancelled or reversed except where required by applicable law or where operationally possible.

18. Disclaimers and limitation of liability

18.1 Service disclaimer. To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. Except as expressly provided in these Terms, Betaling disclaims all warranties, representations, guarantees, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, or compatibility.

18.2 Service availability. Betaling does not guarantee that:

  • the Services will always be available or operate without interruption;
  • defects will always be corrected immediately;
  • the Services will be free from viruses or other harmful components; or
  • every transaction will be successfully completed.

18.3 Exclusion of certain losses. To the fullest extent permitted by law, neither Party shall be liable to the other for any indirect, consequential, incidental, special, exemplary, or punitive damages; loss of profits; loss of anticipated revenue; loss of goodwill; loss of business opportunity; loss of anticipated savings; or loss or corruption of data, whether arising in contract, tort (including negligence), strict liability, or otherwise.

18.4 Liability cap. Subject to Clause 18.5, Betaling's total aggregate liability arising out of or relating to the Services shall not exceed the total fees actually paid by you to Betaling during the twelve (12) months immediately preceding the event giving rise to the claim, unless a different liability cap is expressly agreed in writing for a specific Service.

18.5 Exceptions. Nothing in these Terms limits or excludes liability arising from fraud or fraudulent misrepresentation; gross negligence; wilful misconduct; death or personal injury resulting from negligence where applicable; breaches of confidentiality obligations; infringement of intellectual property rights; or any liability that cannot lawfully be excluded or limited.

19. Indemnification

You agree to indemnify, defend, and hold harmless Betaling, its affiliates, directors, officers, employees, agents, licensors, banking partners, contractors, and service providers against all claims, proceedings, liabilities, damages, losses, penalties, regulatory fines, costs, and reasonable legal expenses arising directly or indirectly from:

  • your breach of these Terms;
  • misuse of the Services;
  • fraud or unlawful conduct;
  • violation of applicable laws;
  • infringement of third-party rights;
  • inaccurate or misleading information supplied by you; or
  • any negligent or wilful act or omission by you or your authorised users.

This indemnity shall not apply to the extent that the relevant loss results directly from Betaling's fraud, gross negligence, or wilful misconduct.

20. Suspension and termination

Betaling may suspend, restrict, freeze, or terminate your Account or access to the Services where reasonably necessary to comply with applicable law or regulatory obligations, investigate suspected fraud or financial crime, protect the integrity or security of the Services, manage operational or reputational risk, prevent unauthorised use, or where you materially breach these Terms. Where legally permissible, Betaling shall provide notice of such action.

You may terminate your Account at any time by following the applicable account closure process, provided that all outstanding transactions have been completed or cancelled, all outstanding fees have been paid, and no legal or regulatory restriction prevents closure.

Termination shall not affect accrued rights or obligations. The provisions relating to confidentiality, intellectual property, limitation of liability, indemnities, dispute resolution, payment obligations, compliance, and any other provisions intended by their nature to survive termination shall remain in effect.

21. Changes to the Services and these Terms

Betaling may modify these Terms or the Services from time to time to reflect legal developments, regulatory requirements, technological improvements, operational changes, security enhancements, or new products and services. Where material changes are made, Betaling shall provide reasonable notice through the Services, email, or other appropriate communication channels where required by applicable law. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of those revisions.

22. Force majeure

Neither Party shall be liable for any delay or failure in performing its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including acts of God, earthquakes, floods, fires, pandemics, epidemics, war, terrorism, civil unrest, governmental actions, changes in law, sanctions, labour disputes, cyberattacks affecting critical infrastructure, failures of payment systems, banking outages, telecommunications failures, widespread internet disruptions, or utility failures. The affected Party shall use commercially reasonable efforts to mitigate the effects of the Force Majeure Event and resume performance as soon as reasonably practicable.

23. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Betaling entity providing the relevant Service is incorporated (the Federal Republic of Nigeria or the State of Delaware, United States, as applicable), excluding its conflict of laws principles.

The Parties shall first seek to resolve any dispute through good-faith negotiations. If the dispute remains unresolved within thirty (30) days, the Parties shall attempt mediation. If mediation is unsuccessful, the dispute shall be finally resolved by arbitration in accordance with the arbitration rules applicable in the governing jurisdiction, and the arbitral award shall be final and binding upon the Parties. Nothing in this Clause prevents either Party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

25. General provisions

25.1 Assignment. You may not assign or transfer your rights or obligations under these Terms without Betaling's prior written consent. Betaling may assign, novate, or transfer its rights or obligations to an affiliate or successor in connection with a merger, acquisition, corporate restructuring, financing transaction, or sale of all or substantially all of its business.

25.2 Severability. If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

25.3 Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, product-specific terms, and any schedules expressly incorporated herein, constitute the entire agreement between you and Betaling regarding the Services.

25.4 Waiver. No failure or delay by either Party in exercising any right under these Terms shall constitute a waiver of that right.

25.5 Electronic communications. You consent to receiving notices, disclosures, agreements, and other communications electronically. Electronic communications shall satisfy any legal requirement that such communications be in writing.
